In these Terms:
"Company", "HoldenTek", "we", "us" or "our" means HoldenTek Ltd.
"Client", "you" or "your" means the person or organisation purchasing or using a HoldenTek product or service.
"Device" means the HoldenTek Tag or other HoldenTek hardware supplied to you.
"Services" means the services provided by HoldenTek in connection with the Device, which may include connectivity, tracking platform access, vehicle information, security response and associated support services.
"Subscription" means the recurring subscription required to maintain the relevant HoldenTek Services.
2.1 A contract is formed when you accept our quotation or otherwise agree to purchase a HoldenTek product or service.
2.2 These Terms apply to purchases made in person, by telephone, electronically, in writing or through any other agreed sales process.
2.3 Your purchase may also be subject to any specific terms, pricing or information contained in your quotation or order confirmation.
2.4 If there is a conflict between these Terms and a specific written agreement between you and HoldenTek, the specific written agreement will take precedence to the extent of that conflict.
3.1 The HoldenTek Tag is a discreet, wireless vehicle security device designed to assist in the protection and recovery of vehicles in the event of theft.
3.2 The Tag does not require professional installation. It is designed to be positioned by the Client in a suitable location within or on the protected vehicle.
3.3 The Client is responsible for ensuring that the Device is positioned in a suitable location and remains appropriately secured.
3.4 HoldenTek does not provide installation instructions for the Tag because it is designed as a self-positioned wireless device. We may provide general guidance regarding suitable positioning where appropriate.
3.5 You must not deliberately damage, tamper with, dismantle, modify or interfere with the Device.
3.6 The Device remains the property of the Client once full payment for the Device has been received.
4.1 An active Subscription is required to maintain the relevant HoldenTek Services.
4.2 Depending on the product or service purchased, the Services may include:
Connectivity and data services
Access to the relevant tracking platform
Vehicle profile management
Location information
Security alerts
Security response services
Customer support and related services
4.3 The specific features available to you will depend on the HoldenTek product or service purchased.
4.4 HoldenTek may update or improve its systems and Services from time to time, provided that such changes do not materially reduce the core service purchased by the Client without appropriate notice.
5.1 The HoldenTek Tag Subscription is £6 per month, unless otherwise stated in your quotation or agreement.
5.2 The minimum Subscription term is 12 months.
5.3 Subscription payments are payable by standing order arranged by the Client.
5.4 The Client is responsible for ensuring that the standing order is correctly established and maintained for the duration of the Subscription.
5.5 Failure to maintain the required Subscription payment may result in the Services being suspended or terminated in accordance with these Terms.
5.6 If a payment becomes overdue, HoldenTek may contact the Client to request payment of the outstanding amount.
5.7 HoldenTek may suspend the relevant Services where an overdue payment remains unpaid.
5.8 HoldenTek reserves the right to recover reasonable costs properly incurred in recovering overdue payments, where permitted by law.
5.9 HoldenTek may review and change Subscription pricing by providing reasonable advance written notice. Any change will not retrospectively alter payments already due.
6.1 The minimum Subscription commitment is 12 months.
6.2 Following the minimum term, a Client wishing to cancel their Subscription must provide written notice by email to info@holdentek.co.uk.
6.3 Cancellation requests should include the reason for cancellation and sufficient information for HoldenTek to identify the Client and associated vehicle/service.
6.4 HoldenTek may contact the Client regarding the cancellation request where clarification is reasonably required.
6.5 Where a Client requests cancellation before the end of the minimum 12-month term, the Client may remain responsible for Subscription payments due for the remainder of that minimum term, subject to any applicable statutory cancellation rights.
6.6 Cancellation of the Subscription will result in the relevant HoldenTek Services being deactivated at the end of the applicable Subscription period.
HoldenTek may suspend Services where reasonably necessary, including where:
Subscription payments are overdue
The Device has been deliberately damaged or tampered with
The Services are being misused
There is suspected fraud or unlawful activity
Suspension is required by law
A network, technology or service provider requires suspension
Continued provision of the Services creates a security or operational risk
Where reasonably practicable, HoldenTek will notify the Client before suspending Services due to a breach or overdue payment.
Suspension does not automatically remove any outstanding payment obligations.
8.1 HoldenTek Services rely on technology including mobile networks, location systems, software platforms and third-party infrastructure.
8.2 The availability and accuracy of location information may be affected by factors outside HoldenTek's reasonable control, including network availability, signal strength, environmental conditions, interference and technical faults.
8.3 HoldenTek does not guarantee uninterrupted or continuously available location information.
8.4 Location information may not always represent the vehicle's exact position at the exact moment you access the platform.
8.5 HoldenTek's security solution is designed to assist in the event of vehicle theft. It is not a guarantee that a vehicle will not be stolen or that a stolen vehicle will always be recovered.
8.6 HoldenTek is proud of its security response results to date but cannot guarantee recovery of any individual vehicle or asset.
9.1 Where included within the Client's HoldenTek service, a theft may trigger a security response following confirmation of the theft in accordance with HoldenTek's procedures.
9.2 Relevant vehicle and customer information may be made available through secure systems to authorised HoldenTek security personnel or security partners for the purpose of responding to the incident.
9.3 Security response is subject to the circumstances of the incident, available information, location data, network availability and the actions of third parties, including law enforcement where applicable.
9.4 HoldenTek does not guarantee that a security response will result in recovery of a stolen vehicle.
9.5 Clients should report vehicle theft to the police and provide any relevant crime reference information to HoldenTek where requested.
You agree to:
Provide accurate information to HoldenTek
Keep your contact details up to date
Maintain your Subscription payment
Position and maintain the Device appropriately
Not deliberately damage, tamper with or modify the Device
Keep your account credentials secure
Use the Services lawfully
Notify HoldenTek promptly of any relevant change to your vehicle or circumstances
Where you use HoldenTek Services to monitor vehicles or drivers belonging to other people, you are responsible for ensuring that your use complies with applicable employment, privacy and data protection requirements.
11.1 The HoldenTek Tag is covered by a 12-month warranty against qualifying manufacturing or operational defects.
11.2 The warranty is intended to cover circumstances where the Device unexpectedly or randomly stops transmitting the data required for the HoldenTek Service, where this is determined to be a Device fault.
11.3 The warranty does not cover:
Accidental damage
Deliberate damage
Physical damage
Tampering
Unauthorised modification
Misuse
Damage caused by inappropriate positioning or handling
Normal wear and tear
Damage caused by circumstances outside HoldenTek's reasonable control
11.4 Where a valid warranty claim is accepted, HoldenTek may repair or replace the Device at its discretion.
11.5 This warranty does not affect any statutory rights you may have under applicable consumer law.
12.1 Where applicable, consumers may have statutory cancellation rights under the Consumer Contracts Regulations 2013, including a 14-day cancellation period for certain distance or off-premises contracts.
12.2 Where a consumer exercises a statutory cancellation right in relation to the Device, the Device must be returned to HoldenTek in accordance with the return instructions provided.
12.3 Refunds will be handled in accordance with applicable consumer legislation.
12.4 Nothing in these Terms is intended to remove or restrict any statutory consumer rights.
13.1 HoldenTek processes personal information in accordance with applicable UK data protection legislation and its Privacy Policy.
13.2 Where HoldenTek Services involve vehicle location information or other personal data, that information will be processed for the purposes of providing and managing the relevant service.
13.3 Where you use HoldenTek Services to monitor other individuals, including employees or drivers, you are responsible for ensuring that your use of the Services complies with applicable data protection and privacy requirements.
14.1 HoldenTek retains all intellectual property rights in its software, systems, branding, documentation and technology, except where ownership is expressly transferred in writing.
14.2 You must not copy, reproduce, reverse engineer, modify, distribute or commercially exploit HoldenTek software, systems or materials without our written permission.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Subject to the above:
15.1 HoldenTek will not be responsible for losses that were not reasonably foreseeable at the time the contract was formed.
15.2 HoldenTek will not be responsible for losses caused by circumstances outside our reasonable control.
15.3 HoldenTek does not accept responsibility for the theft of a vehicle or for failure to recover a stolen vehicle.
15.4 Nothing in these Terms affects your statutory consumer rights.
15.5 Where legally permitted, HoldenTek's liability will be limited to the losses directly caused by HoldenTek's breach of contract or negligence.

HoldenTek will not be responsible for delay or failure to provide Services where this is caused by circumstances beyond our reasonable control.
This may include:
Mobile network outages
Major technology failures
Third-party service interruptions
Natural disasters
Government action
Industrial disputes
Significant supply chain disruption
Other events outside our reasonable control
We will take reasonable steps to restore affected Services as soon as reasonably practicable.
HoldenTek may update these Terms from time to time where reasonably necessary to reflect changes to our Services, technology, business practices or legal requirements.
Where a change materially affects an existing Client's rights or obligations, we will provide reasonable notice where required.
These Terms are governed by the laws of England and Wales.
Where the Client is a consumer, nothing in these Terms prevents the Client from relying on any mandatory consumer rights or protections available under applicable law.
